Terms & Conditions

These Terms govern your access to and use of the MatterIn platform (the "Service"), operated by MatterIn ("MatterIn", "we", "us"). By creating an account or using the Service you agree to be bound by these Terms.

1. Who you are contracting with

The Service is provided by MatterIn. References to "we", "us" and "our" mean MatterIn. If you are using the Service on behalf of a business, you represent that you have authority to bind that business to these Terms.

2. Acceptance

By registering for, accessing or continuing to use the Service you accept these Terms, our Privacy Notice and our Refund Policy. If you do not agree, do not use the Service.

3. Account & credentials

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must provide accurate information and keep it up to date.

4. Acceptable use

You must not, and must not permit anyone to:

  • use the Service for any unlawful purpose or in breach of applicable law;
  • commit fraud, send spam, or harass any person;
  • infringe the intellectual property or privacy rights of others;
  • upload malware or interfere with the security or integrity of the Service;
  • probe, scan, scrape or reverse-engineer the Service or attempt to circumvent technical limits.

5. Intellectual property

MatterIn and its licensors retain all right, title and interest in and to the Service, including all software, documentation, trade marks and other intellectual property. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to use the Service within the plan you have selected.

6. Service level

We work hard to keep the Service available and reliable but do not guarantee that it will be uninterrupted, error-free or that defects will be corrected immediately. The Service is provided "as is" and, to the fullest extent permitted by law, we disclaim all implied warranties including merchantability and fitness for a particular purpose.

7. Payments & subscriptions

Paid subscriptions are billed in advance on a monthly basis (or on the interval shown at checkout) and renew automatically until cancelled. Fees, billing cycles, taxes, cancellations and refund mechanics are processed by our reseller Paddle and are governed by Paddle's Buyer Terms. You can cancel at any time from your billing settings or via paddle.net.

8. Paddle as Merchant of Record

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

9. Suspension & termination

We may suspend or terminate your access to the Service if you materially breach these Terms, fail to pay sums when due, present a security or fraud risk, or repeatedly or seriously violate our policies. On termination, your right to use the Service ends and we may delete your data after a reasonable export window.

10. Liability

To the fullest extent permitted by law, our aggregate liability arising out of or relating to these Terms or the Service is capped at the fees you paid to us in the twelve months immediately preceding the event giving rise to the claim. We are not liable for indirect, consequential or special damages, including loss of profits, data or goodwill. Nothing in these Terms excludes liability for fraud, death or personal injury caused by negligence, or any other liability that cannot be excluded by law.

11. Indemnity

You agree to indemnify and hold us harmless from claims arising from content you submit, your unlawful use of the Service, or your breach of these Terms.

12. Governing law

These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction over any dispute arising under them.

13. Changes

We may update these Terms from time to time. Material changes will be notified through the Service. Continued use after changes take effect constitutes acceptance.
